1. Agreement to Terms
By accessing LENS, you agree to these Terms. If you are a school administrator, teacher, or other operator acting for an organization (the "School"), you agree to these Terms on behalf of your School and its authorized users, including teachers, students, and parents, where applicable.
If you do not agree with these Terms, please do not use the service.
2. Accounts and Billing
2.1 Access plans
LENS offers paid access plans (per-student, per-month), trial access, and founding-school or partnership offers. Billing terms, seat counts, feature scope, and plan eligibility are presented before checkout or activation.
2.2 Subscription cadence
Monthly and annual plans renew automatically until cancelled. Founding-school rates, where offered, are locked for the duration stated in the offer. One-time build fees or setup fees are billed once and begin after confirmed payment.
2.3 Refunds
Subscription fees are non-refundable once the service period has started, except where a refund is required by applicable law, including mandatory European consumer protections for unused digital services when relevant. Build fees and setup fees are non-refundable once work has commenced, per the applicable statement of work.
2.4 Dormancy
If a School account remains inactive for 24 consecutive months, we may archive associated data to maintain service performance. We will attempt to contact the account owner before archival.
3. School and Organization Use
3.1 Fair use
Institutional use must remain within normal operational usage. We may review unusual activity — such as atypical seat utilization, bulk data exports, or API-rate anomalies — to protect platform stability and enforce abuse-prevention safeguards.
3.2 Authorized users
Accounts, seats, and workspace access are granted to the named School and its authorized members: administrators, teachers, students, and parents/guardians provisioned by the School. Sharing one staff account across multiple people, or using the service for a larger student population than the subscription covers, is prohibited.
3.3 Role responsibility
- Administrators are responsible for provisioning accounts, managing rosters, linking guardians, and ensuring the School has the lawful authority to collect and use student data.
- Teachers are responsible for the content they assign, the feedback they publish, and their interactions with students and parents through the platform.
- Students are expected to use the platform for the educational purposes defined by their School.
- Parents/Guardians are granted access only to data about students to whom they are linked by the School.
3.4 Data responsibility
Schools remain responsible for ensuring they have the lawful authority to upload student data and use the service within their regulatory framework (including COPPA, FERPA, and GDPR where applicable). Schools are responsible for obtaining any parental consents required by local law.
4. Intellectual Property and AI
4.1 Your data
You retain ownership of your content: recordings, transcripts, written work, curriculum materials, activity assignments, messages, and other data you or your users submit. You grant us a limited, non-exclusive license to process that data solely to operate and improve the service for your account and to provide the contracted functionality.
4.2 No public model training
Proprietary School content and student-generated content are NOT used to train general-purpose public AI models, nor are they shared with other customers.
4.3 LENS platform
The LENS software, design, documentation, and trademarks remain the property of Chamberlin Innovations SASU. These Terms grant you a right to use the service, not ownership of it.
4.4 AI-generated content
AI-assisted outputs (transcripts, summaries, scores, suggested feedback, snapshots) are tools provided to support teacher judgment. Teachers retain final authority and responsibility for any content published to students or parents. LENS does not replace professional pedagogical judgment.
5. Liability and Disclaimer
LENS is provided as a support tool for schools, teachers, students, and families. We do not guarantee specific academic outcomes, scores, admissions results, or business results.
The service is provided on an AS IS basis. To the maximum extent permitted by law, Chamberlin Innovations SASU's liability is limited to the amount you paid us during the previous 12 months. Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded by applicable law.
6. Acceptable Use
You agree not to:
- Use the service in violation of applicable law
- Upload malicious content or attempt to breach our security
- Resell, sublicense, white-label, or redistribute the service without written authorization
- Use automated tools to scrape, extract, or mirror data beyond normal usage
- Impersonate another user, another School, or misrepresent your affiliation
- Upload content that is unlawful, harmful to minors, harassing, or infringes the rights of others
- Use the service to harvest, profile, or advertise to students
7. Account Suspension and Termination
We may suspend or terminate your account if you materially violate these Terms. We will attempt to give notice and a reasonable opportunity to cure, except in cases of serious abuse, legal obligation, or risk to platform integrity.
Schools may cancel a subscription at any time via account settings or by contacting support. Upon termination, data is handled per our Privacy Policy; Schools may request export or deletion of their data within 90 days of termination, subject to any legal retention duties.
8. Modifications to Terms
We may update these Terms from time to time. If we make material changes, we will notify School administrators by email and in-product notice at least 30 days before the changes take effect, to the extent required by law. Continued use of the service after the effective date constitutes acceptance.
9. Governing Law
These Terms are governed by the laws of France. Any disputes that cannot be resolved amicably are subject to the competent courts of Paris, France, subject to any mandatory consumer-protection rules that grant jurisdiction to a court closer to a consumer user's residence.
